Terms of Service

Last updated: October 29, 2026

These terms apply to the use of nextshiftlabs.si and to services provided by Nextshift Labs LLC (“Nextshift Labs”, “we”, “us”) to business clients. A signed proposal or statement of work (“SOW”) may add to these terms. If they conflict, the SOW wins.

1. Services

We provide AI development, workflow automation, custom software development, mobile app development and go-to-market (GTM) automation services. The scope, deliverables, timeline and price of each project are set out in a written proposal or SOW that you approve before work starts.

2. Business clients only

Our services are for businesses, not consumers. By engaging us, you confirm that you act on behalf of a business and have authority to agree to these terms.

3. Fees and payment

4. Client responsibilities

You agree to give us timely access, information and feedback needed to deliver the work, and to make sure you have the right to share any data or materials you give us.

5. Intellectual property

When an invoice for a deliverable is paid in full, you own the custom code, workflows and documentation created for you under that deliverable. We keep ownership of our pre-existing tools, libraries and know-how, and grant you a perpetual, non-exclusive license to use them as part of the deliverables. Open-source and third-party components stay under their own licenses.

6. Confidentiality

Each party will keep the other party's non-public information confidential and use it only to perform the project. We will sign a separate NDA on request.

7. Acceptable use

We do not build systems for spam, fraud, illegal activity, or to break the terms of third-party platforms. We may decline or stop work that we believe breaks the law or these terms.

8. Warranty

We perform services with reasonable skill and care. For 30 days after delivery, we will fix defects that make a deliverable fail to meet the agreed scope, at no extra cost. Apart from this, services are provided “as is”. AI systems can produce incorrect output, and you are responsible for reviewing outputs before relying on them.

9. Limitation of liability

To the extent allowed by law, our total liability for any claim is limited to the fees you paid us for the services giving rise to the claim in the 3 months before the claim. Neither party is liable for indirect or consequential losses, such as lost profits or lost data.

10. Term and termination

Either party may end a retainer with 30 days' written notice. Either party may end a project if the other party materially breaches these terms and does not fix it within 14 days of notice. You pay for work completed up to the end date.

11. Governing law

These terms are governed by the laws of the State of Wyoming, USA, without regard to conflict-of-law rules.
